Building a Diligence Process That Matches the Asset Class

The practical reality is that data center diligence requires a multidisciplinary team working in parallel, not sequentially. The traditional waterfall approach — title first, then environmental, then zoning — burns time in a market where competitive site acquisition moves fast.

Assemble your team early. That means a real estate attorney with data center transaction experience, a civil engineer who understands large power infrastructure, an environmental consultant, a zoning and land use attorney, and — critically — a power consultant who can independently verify utility capacity representations and model interconnection timelines. Sellers will always present the most optimistic power availability narrative. Independent verification is not optional.

Prioritize your fatal flaw analysis. Before spending 60 days on comprehensive diligence, spend the first two weeks answering three questions: Can this site get sufficient power on a timeline that works? Are there any title or environmental issues that could cloud ownership or trigger material remediation costs? Is the zoning path to operational use clear or contested? If any of those answers is uncertain, scope your remaining diligence accordingly.

Document everything about the utility relationship. Correspondence with the utility, interconnection applications already filed, transformer availability, substation capacity studies — these materials tell the real story of a site's power future. A signed letter of intent from a utility means very little. A completed interconnection feasibility study means considerably more.

Future-Proofing: What Diligence Needs to Account for Now

The data center sector is moving faster than the regulatory frameworks governing it. That creates specific forward-looking risks that belong in a thorough diligence analysis.

Water use is becoming a genuine flashpoint. Arizona, Texas, and other water-stressed states are seeing communities push back hard against large data center developments that consume millions of gallons annually for cooling. Buyers acquiring sites in constrained water markets need to assess not just current water availability but the regulatory trajectory — because the water rights that look secure today may face restrictions within the useful life of the asset.

AI workloads are reshaping power density requirements in ways that stress older infrastructure assumptions. A facility designed for 5-10kW per rack is increasingly inadequate for GPU-dense AI training clusters running at 30-100kW per rack. Diligence on existing data center acquisitions needs to assess whether the power infrastructure, cooling systems, and structural floor loading can accommodate density upgrades — or whether what looks like a value-add acquisition is actually an obsolescence play.

Cybersecurity and physical security standards are also increasingly affecting permitting and operational requirements, particularly for facilities that handle government or critical infrastructure data. Buyers targeting those tenant verticals need to understand the compliance requirements — FISMA, FedRAMP, NIST frameworks — and whether a given facility's physical design can meet them.

The data center investment thesis remains compelling. Demand from AI infrastructure buildouts, cloud migration, and enterprise digitization is real and durable. But the margin between a successful data center investment and a costly mistake is often made in diligence — in the questions asked before the ink dries, not the ones asked after the first payment comes due.
