When a municipality hands a developer favorable terms, tax incentives, or zoning variances to land a data center project, there's an implicit contract underneath the legal one: you build it, you operate it, you deliver the jobs and tax revenue we promised our constituents. But data center development is capital-intensive, technically complex, and increasingly dependent on factors outside any developer's direct control — power availability, interest rates, supply chain timelines. When those pressures converge, commitments slip. And cities are often left holding the bag.

Understanding what options exist — for cities, for communities, and for the industry — requires looking honestly at where and why these projects break down.


The Stakes Behind Data Center Development

Data centers aren't glamorous infrastructure. They're climate-controlled warehouses full of servers, cooling equipment, and fiber. But they underpin nearly everything that runs on the internet — cloud computing, AI workloads, financial transactions, streaming, healthcare records. A single hyperscale facility can represent $1–2 billion in capital investment and draw 50–100 MW of power, permanently.

That scale is exactly why municipalities compete aggressively to attract them. A mid-sized data center campus can generate tens of millions in annual property tax revenue and hundreds of construction jobs — even if permanent staffing remains surprisingly lean (most facilities operate with fewer than 100 full-time employees). Cities offer incentives accordingly: expedited permitting, infrastructure upgrades, tax abatements stretching 10 to 20 years.

The problem is that by the time a developer misses a milestone or quietly shelves a project, the city has often already made irreversible commitments — extended the grid, widened roads, fast-tracked environmental reviews. The asymmetry is real.


Why Developers Fail to Deliver

Not every project that stalls is a scam. Most failures are structural.

Power is the single biggest chokepoint in data center development right now. Utilities in high-demand markets — Northern Virginia, Phoenix, Dallas, the Pacific Northwest — are routinely quoting 3–5 year interconnection timelines for large loads. A developer who secures land and permits in 2023 expecting energization in 2025 may find themselves looking at 2028 or later. That changes the entire financial model.

Then there's the financing side. Data center construction is typically funded through a combination of equity and project debt, often contingent on securing anchor tenants — hyperscalers like AWS, Microsoft Azure, or Google Cloud. If those lease negotiations stall or a hyperscaler pauses its expansion (as several did in 2023–2024 amid a reset in cloud spending), a developer's funding timeline collapses with it. Smaller or regional developers without deep balance sheets are particularly exposed here.

Regulatory compliance adds another layer. Zoning approvals, stormwater permits, environmental impact assessments, and building code compliance all run on separate clocks. A single objection from an adjacent landowner or a state environmental agency can freeze a project for months. Developers who underestimate regulatory friction — especially in jurisdictions that haven't permitted a facility of this scale before — routinely discover that their pro forma timelines were fiction.


What Cities Actually Have as Leverage

When a developer misses commitments, cities aren't powerless — but their options vary dramatically depending on how well the original agreement was structured.

The most effective tools are built into the development agreement itself. Milestone-based incentive structures — where tax abatements or fee waivers are released in tranches tied to construction progress, job creation numbers, or assessed valuation targets — give municipalities real leverage without requiring litigation. If the developer doesn't hit Phase 1 milestones by a defined date, the incentives for Phase 2 simply don't unlock.

Clawback provisions are the enforcement mechanism that most cities underutilize. A well-drafted clawback clause requires a developer to return some or all previously received incentives if specific commitments aren't met within a defined window. The challenge is that these provisions are only as strong as the political will to enforce them and the developer's financial capacity to comply — a developer who has burned through capital on a stalled project may not have much to claw back.

Community impact agreements (CIAs) are increasingly being used as a third layer of accountability, requiring developers to fund local workforce training, contribute to affordable housing, or meet local hiring quotas. While these don't guarantee project completion, they shift some value to the community even in partial-delivery scenarios.

The nuclear option — reclaiming land, terminating agreements, suing for damages — is available in theory and almost never clean in practice. Legal proceedings are slow, expensive, and uncertain. More practically, they scare off future developers. Cities that develop a reputation for adversarial project disputes find the next round of recruitment considerably harder.


The Contracts Nobody Reads Carefully Enough

The hidden risks in data center development agreements tend to cluster around a few recurring issues.

Force majeure clauses have expanded dramatically since COVID. Developers now routinely seek broad protections covering supply chain disruptions, utility delays, and even labor shortages. In aggressive negotiations, these provisions can effectively excuse almost any timeline failure — stripping cities of the milestone enforcement they thought they had.

Capacity commitments without demand guarantees are another trap. A developer may commit to building a 100 MW campus but retain the right to phase construction based on "market conditions." What's delivered in Year 1 might be 20 MW with no firm obligation to complete the rest. Cities that sized their infrastructure investments — upgraded substations, extended water lines — around the full build-out absorb those costs regardless.

Long-term consequences extend beyond the specific project. Failed or abandoned data center sites create real complications: partially built structures with specialized electrical infrastructure, expensive remediation if hazardous materials were involved, and a contaminated land record that affects future development prospects. The opportunity cost is significant — land and power capacity that was held for a stalled project wasn't available for alternatives that might have actually materialized.

Mitigation starts with expertise at the negotiating table. Cities that have successfully managed large-scale data center deals — Loudoun County in Virginia is the canonical example — do so because they've built internal capacity or retained specialized outside counsel who understand the technical and commercial specifics. A general economic development attorney reviewing a data center development agreement for the first time is not the same thing.


Where This Is Heading

The industry is maturing in ways that cut both directions for cities.

On one hand, growing institutional sophistication means better deals are available for municipalities willing to push for them. The days when a city needed to hand over blank-check incentives to attract any data center interest are ending in high-demand markets — the scarcity of power-ready, fiber-connected land with clean permitting histories means communities with those assets actually hold leverage.

On the other hand, the scale of investment required keeps growing. Next-generation AI training facilities are being designed for 500 MW to 1 GW of capacity — the power draw of a mid-sized American city, from a single campus. Projects at that scale involve years of development, billions in capital, and dependencies on utility planning cycles that no developer controls entirely. The gap between commitment and delivery will structurally widen before it narrows.

Policy is beginning to catch up. Several states are developing standardized frameworks for data center incentive agreements, including required milestone structures and minimum clawback provisions. That standardization, if it spreads, would give smaller municipalities without sophisticated development offices at least a baseline of protection.

The underlying question for any city entering a data center development agreement in 2025 isn't just "do we want this project?" It's "what do we actually have if this project doesn't come together?" Answering that question honestly, before signing, is the only leverage that doesn't expire.
