Texas Data Center Developer Alters Director Rules

Fermi, a Texas-based data center developer, just made a move that every infrastructure investor and developer in the space should pay attention to: the company changed its internal rules around director appointments — specifically to block efforts by former insiders to reclaim board influence.

That's not a routine governance tweak. That's a signal.

When a company rewrites the rules mid-game to keep certain players off the field, it raises immediate questions about what's at stake, who's fighting for control, and what it means for the capital flowing into this sector.

What Fermi Actually Did — and Why It Matters

The specifics, as reported by Bloomberg, are pointed: Fermi altered its director appointment rules to prevent former directors from mounting a comeback. The timing and targeting of the change suggest this wasn't a proactive housekeeping exercise. It was reactive — a defense mechanism triggered by real pressure from real people who had board-level ambitions.

When a developer changes its governance documents to block specific actors, it's rarely about abstract policy. It's about power, capital allocation, and who gets to make decisions worth hundreds of millions of dollars.

Data centers are not small bets. A single hyperscale facility can cost $500 million to $1 billion to build out, and Texas has become one of the most competitive development markets in the country — driven by cheap land, deregulated energy, and proximity to major enterprise and tech hubs in Austin, Dallas, and Houston. The people sitting on the board of a company like Fermi aren't just overseeing governance formalities. They're shaping site selection, capital raises, offtake agreements, and utility interconnection strategy.

Control of that board is worth fighting over.

Governance as a Competitive Weapon in Infrastructure

Here's the non-obvious angle most coverage will miss: in infrastructure development, governance documents are operational documents.

Unlike a software startup where product pivots are cheap and fast, a data center developer's decisions are baked into concrete, fiber conduit, and 20-year power purchase agreements. A single board decision — to pursue one site over another, to take on a particular debt structure, to partner with one hyperscaler versus another — can define the company's trajectory for a decade.

That's why director appointment rules aren't bureaucratic fine print. They're one of the most consequential levers in a capital-intensive development business.

In private infrastructure companies, boards often have explicit rights embedded in shareholder agreements or operating agreements around who can be nominated, who must be approved, and under what conditions existing directors can be removed or replaced. When Fermi moved to change those rules, it was almost certainly amending either its bylaws or its operating agreement — legal documents that govern not just governance but investor rights, exit mechanics, and capital call obligations.

For any co-investors or limited partners in Fermi's projects, that matters directly. A change in who controls the board is a change in who controls the investment thesis.

What Investors Need to Understand

If you're a capital allocator with exposure to data center development — whether as an equity investor, a lender, or a land seller — Fermi's situation illustrates a risk that's easy to underwrite when times are good and brutal when they're not.

Governance conflicts at the developer level typically surface when one of three things happens: the company's financial performance diverges from projections, a significant capital raise is underway and new investors want influence, or founding/early stakeholders disagree with the strategic direction. Any of those scenarios in the Texas data center market right now would be entirely plausible. Development timelines are getting compressed by power grid constraints, construction costs remain elevated compared to pre-2021 baselines, and competition for interconnection capacity with ERCOT has intensified dramatically.

When governance disputes surface in that environment, the losers aren't just the people who get blocked from board seats. Delayed decisions cost money. Construction lenders hate uncertainty. Offtake customers — the hyperscalers and enterprises signing leases — want to see stable management teams, not boardroom battles.

An infrastructure company mid-dispute over director control is an infrastructure company that may struggle to close its next financing round on favorable terms.

Investors doing due diligence on any Texas data center developer right now should be scrutinizing governance documents with the same rigor they apply to pro formas. Who controls director nominations? What happens in a deadlock? Are there supermajority voting requirements that could freeze decision-making? These provisions determine whether a company can act decisively in a fast-moving market.

Operational Realities for Data Center Developers

For developers operating in Texas and watching Fermi's situation unfold, there are practical lessons embedded in what's happening.

First, governance structures that made sense at a company's founding often become points of friction as the company scales and ownership becomes more distributed. What works with three founding partners and a seed-stage investor breaks down when there are eight stakeholders with competing return timelines. Building in clear, unambiguous language around director appointments — including succession, removal triggers, and cooling-off periods for departing directors — isn't pessimism. It's operational discipline.

Second, Texas-specific infrastructure development carries unique governance complexity because of ERCOT's market structure. Unlike the rest of the continental U.S., Texas operates its own interconnected grid, and decisions about where to site a data center, what power contract to pursue, and how to manage load curtailment risk are deeply technical. Boards that lack energy market expertise — or that get populated by financial stakeholders without that domain knowledge — tend to make expensive mistakes. Who sits on the board is a direct determinant of whether the company navigates ERCOT intelligently.

Third, the fact that former directors were apparently pushing to return to Fermi's board suggests they believe there's meaningful value at stake — either unrealized upside they want to capture or strategic decisions they want to reverse. That's information. It means people with inside knowledge of the company think the trajectory matters enough to fight for a seat at the table.

The Broader Pattern in Data Center Governance

Fermi isn't operating in a vacuum. Across the data center and digital infrastructure sector, governance disputes have become more common as the asset class has matured, valuations have risen, and institutional capital has flooded in alongside the original developer-operators who built these businesses.

The pattern is familiar to anyone who has watched real estate development companies evolve: scrappy founders with operational expertise eventually find themselves sharing a board with financial sponsors who have different priorities and exit timelines. When those interests diverge, the operating agreements and bylaws become battlegrounds.

What makes data center development different from, say, multifamily residential, is the technical complexity and the long-tail nature of the decisions. A data center built today will operate for 20-plus years, serving customers whose own infrastructure strategies are evolving. The governance choices made now — including who gets to sit on the board and on what terms — will shape that entire lifecycle.

Texas is the right place to watch this play out. The state has attracted extraordinary capital investment in digital infrastructure, driven by energy availability, favorable regulatory conditions, and massive demand from AI and cloud workloads. That capital concentration means governance conflicts, when they happen, happen at scale.

Fermi's decision to alter its director appointment rules is a small story with large implications. The immediate dispute will resolve one way or another. But the underlying question — who controls the board of a high-stakes infrastructure developer, and what rules govern that control — will define outcomes across dozens of companies and billions of dollars of assets in the years ahead.

Developers and investors who treat governance documents as an afterthought will eventually learn what Fermi apparently already knows: the rules around who gets a seat at the table are some of the most important rules in the building.
